1. Introduction

Welcome to UGC Nexus. These Terms of Service ("Terms") govern your use of our platform and services. By accessing or using UGC Nexus, you agree to be bound by these Terms.

2. Definitions

  • Platform: The UGC Nexus website and services
  • Brand: Companies or individuals who create and fund challenges
  • Creator: Content creators who participate in challenges
  • Challenge: A content creation task posted by a Brand
  • Escrow Service: Our payment holding and distribution service

3. Platform Services

3.1 For Brands

  • Brands can create and post content creation challenges
  • Challenge budgets must be funded upfront through our Escrow Service
  • Brands retain the right to approve or reject submitted content based on challenge requirements
  • Brands must provide clear challenge requirements and evaluation criteria

3.2 For Creators

  • Creators can participate in available challenges
  • Payment will be released upon successful completion and brand approval
  • Platform fees will be deducted from the final payment
  • Creators must comply with challenge requirements and deadlines

4. Payments and Fees

  • All challenge budgets are processed through our Escrow Service
  • Platform fees are automatically deducted from challenge payments
  • Brands must fund challenges before they become active
  • Creator payments are released only after brand approval
  • All payments are subject to our anti-fraud verification process

5. Content Rights and Ownership

  • Creators retain original copyright until payment is released
  • Upon payment, content rights transfer to the Brand as specified in the challenge terms
  • Brands must respect creator's moral rights and provide attribution when required
  • Content must be original and not infringe on third-party rights

6. Dispute Resolution

In case of disputes between Brands and Creators, UGC Nexus will:

  • Review challenge requirements and submitted content
  • Mediate communication between parties
  • Make final decisions regarding payment release
  • Reserve the right to refund or release payments based on our assessment

7. Platform Rules

  • No fraudulent or misleading behavior
  • No harassment or abusive conduct
  • No violation of intellectual property rights
  • No manipulation of the platform or its services
  • Compliance with all applicable laws and regulations

8. Termination

UGC Nexus reserves the right to suspend or terminate accounts that violate these Terms, with or without notice. Ongoing challenges and payments will be handled according to our dispute resolution policy.

9. Limitation of Liability

UGC Nexus serves as a platform and escrow service provider. We are not responsible for:

  • Quality of submitted content
  • Disputes between Brands and Creators
  • Third-party claims regarding content
  • Loss of profits or opportunities

10. Changes to Terms

We reserve the right to modify these Terms at any time. Users will be notified of significant changes, and continued use of the platform constitutes acceptance of modified Terms.
